LL.M. Contract Drafting
This seminar introduces students to the structure, language, and logic of modern contracts, emphasizing both clarity and risk management. The course begins with a review of foundational contract principles and quickly moves to practical applications. Students will analyze and revise real-world contract provisions, identify common drafting pitfalls, and learn techniques for translating business goals into precise, enforceable terms. Through a combination of individual and collaborative drafting exercises, students will prepare sample clauses and complete short-form and full-length agreements from scratch. By the end of the course, students will have developed the ability to draft contracts that are clear, consistent, and calibrated to manage client risk effectively.
