Cynthia Topel

I am an experienced in-house attorney with a track record of providing practical, strategic counsel and partnering with senior leadership and cross-functional teams. My practice focuses on helping organizations manage legal risk while enabling business growth, operational efficiency, and complex transactions, including commercial and finance contracts, mergers and acquisitions, bankruptcy, and corporate governance.

My experience includes leading corporate governance, securities, and public company matters, with responsibility for reviewing SEC filings, earnings materials, press releases, executive communications, and environmental, social, and governance (ESG) reporting. I also lead the contracts and compliance teams, including commercial contracts and leases, finance support, advertising and pricing compliance, ethics programs, and legal compliance initiatives for national retailers and manufacturers.

I work closely with the Board of Directors and executive leadership, leading Governance Committee meetings and supporting Board and committee operations through agenda development, governance best practices, preparation of meeting materials, and maintenance of corporate records.
