Business Associations/Corporations

The initial part of this course is an introduction to the state law of multi-person unincorporated business organizations, principally partnerships, limited partnerships and limited liability companies. Matters covered include the procedures for forming such organizations and the rights and obligations of the participants as among themselves and with respect to third persons. The remaining class hours are devoted primarily to the state law governing Corporations and will cover such matters as corporate organization; the distribution of corporate powers among the corporation’s board of directors, its officers and its stockholders; control devices in the close corporation; and the fiduciary duties of directors, officers and controlling shareholders. The federal law of proxy fraud and insider trading will also be addressed.
 

IMPORTANT NOTE: The evaluation method for this section is a final examination that is objective in nature, comprised of multiple choice and true/false questions. If this method of evaluation is not conducive to you, please consider taking a different section of the course offered by another professor.
